SQI Diagnostics Inc. Announces Private Placement with Insider Participation

a life sciences and diagnostics company that develops and commercializes proprietary technologies and products for advanced microarray diagnostics, today announced that it intends to complete a non-brokered private placement (the “Private Placement”) of up to 10,600,000 units (“Units”) of the Company at a price of $0.50 per Unit for gross proceeds of up to $5.3 million, subject to regulatory and stock exchange approval. Each Unit will consist of one common share and one common share purchase warrant. Each common share purchase warrant will entitle the holder to purchase one common share at a price of $0.65 for a period of three years from the date of issuance, subject to accelerated expiry in certain circumstances. If the full Private Placement is sold and after giving effect to the issuance of shares and exercise of warrants, the Company would have up to 77,586,058 shares outstanding.

It is anticipated that insiders of the Company will subscribe for up to 5,000,000 Units for gross proceeds of $2,500,000 under the Private Placement. The issuance of Units to insiders pursuant to the Private Placement will be considered related party transactions within the meaning of TSX Venture Exchange Policy 5.9 and Multilateral Instrument 61-101 (“MI 61-101”). SQI intends to rely on exemptions from the formal valuation and minority shareholder approval requirements in sections 5.5(a) and 5.7(1)(a) of MI 61-101 in respect of such insider participation, as the fair market value of the participation in the Private Placement by insiders will not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101. The Company expects to file a material change report in respect of the related party transaction less than 21 days prior to the closing of the Private Placement, which the Company deems reasonable in the circumstances so as to be able to avail itself of the proceeds of the Private Placement in an expeditious manner. In connection with the Private Placement of Units to non-insiders, the Company may pay a finder’s fee in cash and compensation warrants, subject to regulatory and stock exchange approval.

The Company expects to close the Private Placement on or about June 30, 2015.

The Private Placement is subject to all necessary regulatory and stock exchange approvals. The securities being issued pursuant to the Private Placement will be subject to a four month hold period in accordance with applicable Canadian securities law. SQI intends to use the net proceeds of the Private Placement to fund the Company’s product development and commercialization programs, sales and marketing and for general working capital purposes.
